The Parties agree that prior to the close of escrow they shall provide <br />Settlement Agent with written confirmation that all terms and conditions of th e Agreement, and any obligation of <br />Settlement Agent relative thereto, have been fully complied with or waived. <br />The Parties hereby release Settlement Agent from all liability, if any, which it may have in connection with this <br />escrow as a result of a Party's failure to comply with any term or condition of the Agreement prior to close of <br />escrow.
