<br /> <br />(ii) it is a state, a possession of the United States, or any political <br />subdivision of a state or possession, or the United States or the District of <br />Columbia, within the meaning of Section 170(c)(1) of the Code, including <br />a city, school district or public school, or a state college or university <br />described in Section 511(a)(2)(B) of the Code, and that it will use the <br />Grant for public purposes. <br />B. Use of Grant Funds. Grantee agrees to use the grant solely for the Project as <br />outlined in its funding proposal and related correspondence. This grant is not in <br />any way earmarked to carry out any voter registration activities, even if <br />Grantee’s proposal or other correspondence expresses such expenditure <br />intentions. Grantee will utilize the grant only for charitable and educational <br />purposes consistent with its tax-exempt status described above. Grantee agrees <br />to repay the Foundation any portion of the grant that is not used for charitable <br />and educational purposes in furtherance of the Project. Grantee will not use any <br />portion of this grant to intervene in any election or support or oppose any <br />political party or candidate for public office. Grant funds may not be used to <br />carry out propaganda for any illegal or criminal activity or other purposes that <br />conflict with the Foundation’s charitable mission. <br /> <br />C. Expenditure for Lobbying. Grantee agrees that it will not use the Grant Funds to <br />any extent to attempt to influence legislation, as defined in the federal tax law. <br /> <br />D. Termination. The Foundation will review the quality of the work done and your <br />progress toward achieving the grant's goals. In addition, the Foundation will, <br />throughout the term of the grant, consider whether the continuation of the work <br />of the grant is in the interest of the general public. If the Foundation is not <br />satisfied with the quality of your work or the progress toward achieving the goals <br />of the grant, if the Foundation is of the opinion that you are incapable of <br />satisfactorily completing the work of the grant, or if the Foundation determines, <br />in its sole discretion, that continuation of the grant is not reasonably in the <br />interest of the general public, the Foundation may, in its discretion, i) withhold <br />payment of grant funds until in its opinion the situation has been corrected or ii) <br />declare the grant terminated. The Foundation may terminate this grant at any <br />time by notice to the Grantee upon a determination in its sole discretion that the <br />Grantee has violated any term of this agreement. Grantee shall return any <br />unspent grant funds to the Foundation upon any termination of this agreement. <br /> <br />E. Reporting Requirements.
