Tax is estimated based on rates applicable at date of quote and subject to change at time of invoicing. If a tax exemption certificate should be applied, please submit <br />prior to invoicing. <br />This quote is governed by the following documents: (i) Contract Sourcewell #101223-AXN, which is incorporated by reference into the terms and conditions of this Agreement <br />(“Sourcewell Contract”); (ii) the Purchase Agreement for Goods, Commodities and Services dated June 1, 2025, which incorporates Axon’s Master Services and Purchasing <br />Agreement Terms and Conditions (“Purchase Agreement”);and (iii) that certain First Amendment to the Purchase Agreement executed in connection with this quote (“ <br />Amendment”). The Sourcewell Contract, Purchase Agreement and Amendment are referred to herein as the “Purchase Documents”. In the event of conflict between the terms <br />of the Purchase Documents, the documents will govern in the following order of priority: Amendment, Purchase Agreement and Sourcewell Agreement. <br />Standard Terms and Conditions <br />Terms and Conditions <br />Purchase Documents: <br />This Quote is limited to and conditional upon terms and conditions set forth in the Purchase Documents. <br />Acceptance of Terms: <br />Any purchase order issued in response to this Quote is subject solely to the above referenced terms and conditions. By signing the Amendment, you represent that you are lawfully able to enter into contracts. If you are signing on behalf of an entity (including but not limited to the company, municipality, or government agency for whom you work), you represent to Axon that you have legal authority to bind that entity.
