Page 12 of 12 <br />Skydio’s failure to act on or enforce any provision of this Agreement shall not be construed as a <br />waiver of that provision or any other provision in this Agreement. No waiver shall be effective <br />against Skydio unless made in writing, and no such waiver shall be construed as a waiver in any <br />other or subsequent instance. <br />This Agreement shall be construed and governed by the laws of the State of California, without <br />regard to the principles of conflict of laws thereof, when Skydio Care is purchased in the United <br />States or Canada. Disputes arising from this Agreement shall be resolved in accordance with <br />the relevant Terms of Use for the Covered Drone. You waive your right to a jury trial in <br />proceedings arising out of or relating to this Agreement. All claims must be brought in the <br />parties’ individual capacity, and not as a plaintiff or class member in any purported class or <br />representative proceeding, and, unless Skydio agrees otherwise, the court will not consolidate <br />more than one person’s claims. Both parties acknowledge that each party is waiving the right to <br />participate in a class action. <br />Skydio reserves the right to authorize a third-party service provider to provide any of the <br />Services under this Agreement.
