Joint and Several Liability. <br />The obligations of each person or entity executing this Agreement as Seller or <br />Buyer shall be joint and several. <br />16.12. Number and Gender. <br />Whenever the singular number is used, and when required by the context, the same <br />includes the plural, and the masculine gender includes the feminine and neuter genders. <br />16.13. Construction. <br />This Agreement shall not be construed more strictly against one party hereto than <br />against any other party hereto merely by virtue of the fact that it may have been prepared by <br />counsel for one of the parties. <br />16.14. Exhibits. <br />All exhibits attached hereto are hereby incorporated by reference as though set out <br />in full herein. <br />16.15. Attorneys' Fees. <br />If any action is brought by either party against the other party, relating to or arising <br />out of this Agreement, the transaction described herein or the enforcement hereof, the prevailing <br />party shall be entitled to recover from the other party reasonable attorneys' fees, costs and expenses <br />incurred in connection with the prosecution or defense of such action. The provisions of this <br />Section shall survive the entry of any judgment, and shall not merge, or be deemed to have merged, <br />into any judgment. <br />16.16. Business Days. <br />As used herein, the term "Business Day" shall mean a day that is not a Saturday, <br />Sunday or legal holiday. In the event that the date for the performance of any covenant or <br />obligation under this Agreement shall fall on a Saturday, Sunday or legal holiday under the laws <br />of the State of California, the date for performance thereof shall be extended to the next Business <br />Day. To the extent the date for the performance of any covenant or obligation under this Agreement <br />does not specifically use the term “Business Day”, then the performance of such covenant or <br />obligation shall be determined using calendar days. <br />16.17. Force Majeure. <br />All performance and other dates shall be extended, where delays are due to: war; <br />insurrection; strikes and labor disputes; lockouts; riots; floods; earthquakes; fires; casualties; acts <br />of God; acts of the public enemy; epidemics, pandemics and declared public health emergencies; <br />quarantine restrictions; freight embargoes; litigation and arbitration, including court delays; legal <br />challenges to this Agreement, legal challenges to the Development, or legal challenges to any other <br />approval required from any public agency other than Seller for the Development, or any initiatives
