Exhibit C contains a number of bundled software products being acquired by City from Vendor for the control and operation of Skydio X10 drones. The terms and conditions set forth in Exhibit B define the responsibilities of Skydio with respect to the components of the bundled software and services that are provided by Skydio. As a bundled product, Vendor is responsible for ensuring that the Skydio software components are fully integrated and work with Vendor’s software products to provide full functionality from Skydio hardware (including the X10 drones), including the ability to remotely operate Skydio hardware and to collect, store and transfer data from such hardware as described in this Amendment and Vendor’s documentation. Notwithstanding the foregoing, to the extent that an error or failure with the bundled software is directly attributable to Skydio hardware and software components or there is a failure of Skydio to comply with the provisions of Exhibit B regarding data handling and security protocols, the remedies with respect to such error or failure will be governed by Exhibit B and Vendor will work proactively with City to promptly resolve such error or failure to ensure that bundled software is operating as intended by this Amendment. 6. Vendor will provide the additional Goods, Commodities, and Services set forth in the Exhibits to this Amendment. 7. All other terms and conditions of the Purchase Agreement shall remain unchanged and in full force and effect. 8. The individuals executing this Amendment and the instruments referenced in it on behalf of Vendor each represent and warrant that they have the legal power, right and actual authority to bind Vendor to the terms and conditions of this Amendment. 9. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Amendment based on the use of an electronic signature.
