Page 11 of 12 <br />RETURN AND TRANSFER <br />If you have used one or more Services under Skydio Care, then you cannot return your Skydio <br />Care purchase, or any bundle Skydio Care is included in. Skydio Care, or any bundle that <br />contains Skydio Care, is subject to Skydio’s Return Policy. <br />Skydio Care and this Agreement cannot be assigned or otherwise transferred by you to any <br />third party under any condition, including but not limited to your transfer of the drone, without <br />written consent from Skydio. Any such purported assignment or transfer without such written <br />consent is void and automatically terminates the Skydio Care coverage. <br />INDEMNIFICATION <br />To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold <br />Skydio harmless from and against any claims, actions or demands, including, without limitation, <br />reasonable legal and accounting fees, arising from, relating to or resulting from (a) your breach <br />or alleged breach of the Agreement; or (b) your violation of any law or the rights of a third party. <br />Skydio will provide notice to you of any such claim, suit, or proceeding and will assist you as we <br />deem reasonable, at your expense, in defending any such claim, suit or proceeding. We reserve <br />the right to assume the exclusive defense and control of any matter that is subject to <br />indemnification under this section, and in such case, you agree to cooperate with any <br />reasonable requests assisting our defense of such matter. <br />MISCELLANEOUS TERMS <br />Skydio is not responsible for any failures or delays in providing any of the benefits of Skydio <br />Care including the performance of the Services that result from events outside of Skydio’s <br />reasonable control. <br />You agree that any information or data disclosed to Skydio under Skydio Care or stored in, or in <br />the systems of, a returned Covered Drone is not confidential or proprietary to you and that <br />Skydio will not be responsible for any damage or loss to this disclosed information or data. <br />Furthermore, you agree that Skydio may collect and process data on your behalf and in <br />accordance with our Privacy Policy when it provides the Services to you under Skydio Care. <br />You agree that any accessories or additional components beyond the drone itself that you send <br />back to Skydio under Skydio Care claim submission process may be damaged or lost and will <br />not be replaced and/or covered by Skydio. <br />This Agreement shall prevail over any conflicting terms or other terms associated with any other <br />document, and constitutes your and Skydio’s entire understanding with respect to Skydio Care. <br />This Agreement can only be amended with the written consent of Skydio. <br />If any provision of this Agreement is found to be invalid by any court having competent <br />jurisdiction, the invalidity of such provision shall not affect the validity of any other provision of <br />the Agreement, which shall remain in full force and effect unless such deletion materially <br />frustrates the intent of the parties, in which case this Agreement will terminate. <br />ATTY/AGR.2026/Amend.
