"Existing Lease") and provides in part that that (1) the term of the Existing Lease <br />is extended for a period of Five years commencing July 1, 2024 (07 01 24 to 06 <br />30 29, the "Sixth Extended Term"); (2) the Port is granted the option to occupy <br />the second floor ("Second Floor") of the building and surrounding area of the <br />Leased Premises; (3) No base rent shall be due and payable by Lessor to <br />Lessee for Lessor's occupancy of the Second Floor; provided, however that all <br />terms and conditions of the Second Floor lease are subject to mutual agreement <br />in all respects between the Parties in a separate agreement between the Parties, <br />and the failure to come to terms on that Second Floor lease shall not be deemed <br />to be a breach of this Second Amendment; (4) In the event that the Port <br />exercises its option to occupy the Second Floor, Tenant will be granted Three <br />consecutive Five year options to extend the term of the Existing Lease (the <br />"Seventh Extended Term," the "Eighth Extended Term," and the "Ninth Extended <br />Term"); (5) the Base Rent during the Sixth Extended Term shall be $70,396 per <br />month with 3% increase on a yearly basis; (6) the Base Rent for the Seventh <br />Extended Term, the Eighth Extended term and the Ninth Extended Term, <br />respectively, shall be determined by the parties or by Arbitration if the parties do <br />not come to an agreement; (7) the Base Rent shall increase by 3% each lease <br />year during each extended term; (8)Tenant's payment of Base Rent in the sum of <br />Nine Hundred Eight Thousand Six Hundred Twenty Eight and 56/100 Dollars <br />($980,628.56), which accrued from July 1, 2024, and which includes Base Rent <br />payments through December 31, 2025, shall be paid by Tenant to the Port upon <br />execution of this Second Amendment by the Port; (9) In lieu of additional <br />Port 2 <br />Univar - Second Amendment <br />Ord.
