REV: 04-22-26 MI <br />MIDTERM SUBSCRIPTION CHANGE LETTER <br />Midterm Subscription Change Letter Exhibit <br />Whereas: <br />Oracle America, Inc. (“Oracle”) has entered into a Cloud Services order with <br />CherryRoad Technologies to distribute certain Cloud Services to CITY OF <br />REDWOOD CITY (“You”) dated _________ (the “Cloud Services order”); <br />Oracle and You agree CherryRoad Technologies may place the Cloud <br />Services order to supersede the Previous Services Agreement (defined below) <br />and the Previous Services (defined below) for the below referenced order in <br />accordance with the terms of this Midterm Subscription Change Letter Exhibit. <br />Definitions: <br />Services Environment (“Services Environment”) means the Oracle provisioned environment You <br />access with Your confidential log in credentials provided by Oracle to access and use the Cloud <br />Services ordered. <br />You agree to the following terms and conditions which are applicable to superseding the order for <br />Your Services Environment pursuant to the Cloud Services order placed with CherryRoad <br />Technologies: <br />You acknowledge that the Partner has informed you that the Cloud Services order between <br />Oracle and CherryRoad Technologies terminates and supersedes the following order(s) between <br />Oracle and CherryRoad Technologies, CPQ-3586910 -1 dated June 30, 2025, including all <br />amendments thereto (collectively, the “Previous Services Agreement”), under which CherryRoad <br />Technologies acquired Oracle Services for distribution to You (“Previous Services”).
