Cloud Service. is Oracle will provide Cloud Services to the City pursuant to the <br />CherryRoad Cloud Services Ordering Document, attached hereto as Exhibit B (the <br />“Order”) and the CherryRoad/Oracle Public Sector Cloud Services Agreement, executed <br />by the parties on July 23, 2024, and attached as Exhibit A to Amendment 6 (the <br />“CherryRoad CSA”). The terms and conditions of the CherryRoad CSA and the Order <br />shall solely govern the rights and obligations of the City with respect to any Oracle Cloud <br />Services ordered by City through Consultant and the City agrees to adhere to such terms <br />and conditions in its use of the Cloud Services <br />2. Maintenance and Support. The 800 expertise support hours authorized under <br />Amendment No. 7, and extended under Amendment 8 to Mary 31, 2026, is further <br />extended to May 31, 2029. <br />3. Term of the Agreement. Unless terminated earlier, this Amendment No. 9 will <br />terminate on May 31, 2029. Including all amendments through Amendment No. 9, the <br />total term of this Agreement is approximately ten (10) years and two (2) days expiring on <br />May 31, 2029. <br />4. Fees For Oracle Cloud Services. City will pay Consultant for the Oracle Cloud <br />Services subscription described in the Order and Exhibit A in a total not‑to‑exceed amount <br />of One Million Five Hundred Seventy-Seven Thousand Two Hundred Sixty-Four Dollars <br />and Seventy-Three Cents ($1,577,264.72) for the full three‑year subscription term, <br />allocated by subscription year as follows:. <br />4.1. Subscription Year Amounts. <br />Year 1 (June 1, 2026 – May 31, 2027): not‑to‑exceed $525,754.91 <br />Year 2 (June 1, 2027 – May 31, 2028): not‑to‑exceed $525,754.91 <br />Year 3 (June 1, 2028 – May 31, 2029): not‑to‑exceed $525,754.90 <br />(rounded as needed so the three years sum to $1,577,264.72) <br />4.2. Limitation on Increases. <br />The annual not‑to‑exceed amounts above include all costs or expenses incurred <br />by Consultant for the Oracle Cloud Services subscription during the applicable <br />subscription year, and may not be exceeded without a written amendment to the <br />Agreement approved in accordance with City requirements. <br />5. Option Years. As further described in the Order, the City will have the option to <br />renew the Oracle Cloud Services subscription for up to three (3) additional 12‑month <br />option periods beyond May 31, 2029, at the fees specified in Order.
