<br />1.1.5 “Area Median Income” or “AMI” means the area median income for
<br />San Mateo County, California, adjusted for actual household size, as determined and published
<br />from time to time by
<br />(1) the U.S. Department of Housing and Urban Development (“HUD”) pursuant to
<br />Section 8 of the United States Housing Act of 1937 or
<br />(2) the State of California Department of Housing and Community Development
<br />(“HCD”) in Section 6932 of Title 25 of the California Code of Regulations or its
<br />successor provision in California Health and Safety Code Section 50093(c) or
<br />(3) the California Tax Credit Allocation Committee
<br />and as set forth in the City's annual Income and Rent Limits Schedule, as it applies to the funding
<br />source.
<br />1.1.6 Available. When an Affordable Unit is held available for occupancy
<br />by a Qualifying Household. An Affordable Unit shall be considered to be held available for
<br />occupancy by a Qualifying Household, until occupied or reoccupied by a Qualifying Household,
<br />provided that the Owner is exercising bona fide good faith efforts to let or relet the Affordable
<br />Unit to a Qualifying Household.
<br />1.1.7 Bankruptcy Law. Title 11, United States Code, and any other or
<br />successor State or Federal statute relating to assignment for the benefit of creditors, appointment
<br />of a receiver or trustee, bankruptcy, composition, insolvency, moratorium, reorganization, or
<br />similar matters.
<br />1.1.8 Bankruptcy Proceeding. Any proceeding, whether voluntary or
<br />involuntary, under any Bankruptcy Law.
<br />1.1.9 City. The City of Redwood City, California, a municipal corporation.
<br />1.1.10 City Manager. The appointed City Manager of the City, or their
<br />designee.
<br />1.1.11 City Parties. Collectively, City, its governing body, elected officials,
<br />employees, agents and attorneys.
<br />1.1.12 City Party. Individually, City, its governing body, elected officials,
<br />employees, agents or attorneys.
<br />1.1.13 Claim. Any claim, loss, cost, damage, expense, liability, lien, action,
<br />cause of action (whether in tort, contract, under statute, at law, in equity or otherwise), charge,
<br />award, assessment, fine or penalty of any kind (including consultant and expert fees and expenses
<br />and investigation costs of whatever kind or nature, and if an Indemnitor improperly fails to provide
<br />a defense for an Indemnitee, then Legal Costs of counsel retained by the Indemnitee) and any
