REV: 05-20-26 VR <br />AMENDMENT NO. 3 TO AGREEMENT FOR BUDGETING AND PLANNING, <br />ORGANIZATIONAL PERFORMANCE, AND CITIZEN ENGAGEMENT SOFTWARE <br />SERVICES AND PROGESSIONAL SERVICES <br />(OpenGov, Inc.) <br />This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as <br />of _________________, 2026, by and between the City of Redwood City, a charter city <br />and municipal corporation of the State of California (“City”), and OpenGov, Inc., a <br />Delaware corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement For Budgeting and <br />Planning, Organizational Performance and Citizen Engagement Software Services and <br />Professional Services, dated as of April 18, 2019, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement, dated as of September 12, 2022 (“Amendment No. 1”) and Amendment No.2 <br />to the Original Agreement (“Amendment No. 2”), dated August 15, 2025 (the Original <br />Agreement and Amendments No. 1 and 2 are collectively known as the “Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of Seventy-Five Thousand Dollars <br />($75,000) for the completion of all the services described in Exhibit “A” of Amendment <br />No. 1 which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 3, the total amount payable under the Agreement <br />will be a not-to-exceed amount of Six Hundred Ninety Thousand Two Hundred Eight <br />Dollars and Thirty-Four Cents ($690,208.34). <br />2. The term of the Agreement is hereby extended for an additional one year period. <br />Including all extensions through this Amendment No. 3, the total term of the Agreement <br />is eight (8) years, two (2) months and twelve (12) days, expiring on June 30, 2027. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to the <br />Agreement will include coverage for this Amendment No. 3. <br />5. The individuals executing this Amendment No. 3 and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />ATTY/AGR.2026/Amend.No.3/OpenGov, Inc.
