<br /> 2 <br />2025 Amended and Restated WSA 21945395.2 <br />City of Redwood City <br />City of San Bruno <br />City of San José <br />City of Santa Clara <br />City of Sunnyvale <br />Coastside County Water District <br />Estero Municipal Improvement District <br />Guadalupe Valley Municipal Improvement District <br />Mid-Peninsula Water District <br />North Coast County Water District <br />Purissima Hills Water District <br />Stanford University <br />Town of Hillsborough <br />Westborough Water District <br />The entities listed above which have executed this Agreement shall be collectively referred to as <br />the “Wholesale Customers.” <br />1.03. Effective Date <br />A. Except as provided in subsection C, this Agreement shall become effective only <br />when it has been approved by San Francisco and by each of the entities listed in Section 1.02 <br />and when San Francisco and each of those entities (except for the City of Hayward) have <br />entered into an Individual Water Sales Contract as provided in Section 9.01. <br />B. If San Francisco and all of the entities listed in Section 1.02 approve this <br />Agreement and (except for the City of Hayward) an Individual Water Sales Contract on or before <br />July 1, 2009, the effective date shall be July 1, 2009. If San Francisco and all of the entities <br />listed in Section 1.02 approve this Agreement and (except for the City of Hayward) an Individual <br />Water Sales Contract after July 1, 2009 but on or before September 1, 2009, the effective date <br />shall be the date on which the last entity listed in Section 1.02 approves this Agreement and, if <br />required, an Individual Water Sales Contract. <br />C. If by September 1, 2009 this Agreement has been approved by fewer than all of <br />the entities listed in Section 1.02 or fewer than all of such entities (other than the City of <br />Hayward) have entered into an Individual Water Sales Contract, but it has been approved by <br />entities representing at least 75% in number and 75% of the water purchased from SFPUC by
