Agreement No. 900051 <br />JPB Standard License Form, Rev. 3/2023 <br />[Type text] <br />LICENSE AGREEMENT FOR RECYCLED WATER PIPELINE <br />This License Agreement for Recycled Water Pipeline (“Agreement” or “License”) is <br />entered into as of this ______ day of _____________, 20___ (“Effective Date”), by and between <br />the PENINSULA CORRIDOR JOINT POWERS BOARD, a public agency (“JPB”), referred to herein as <br />“Railroad,” or “Permittor” and City of Redwood City, a Charter City and Municipal Corporation <br />(“Licensee”). <br />R E C I T A L S: <br />A. Railroad is the owner of the peninsula corridor right-of-way (“Right-of-Way”), and <br />specifically that certain real property which is located in the County of San Mateo, State of <br />California, in the vicinity of MP 25.8, as depicted on Exhibit A which is attached to this <br />Agreement and incorporated into it by this reference (the “Property”). TransitAmerica Services, <br />Inc. (“Operator”), under an agreement with Railroad, operates the Peninsula Commute Service <br />on the Right-of-Way, and oversees maintenance of the Right-of-Way, including the Property. <br />B. Pursuant to an April 28, 2022 Subdivision Improvement Agreement between <br />Licensee and IQHQ Elco Yards, L.P. and IQHQ TRS Elco Yards, Inc. (together “Developer”) and an <br />August 11, 2022 License Agreement between Developer and Railroad, Developer has <br />constructed, installed, and completed a new recycled water pipeline (“Facilities”) on the <br />Property, with the intention of offering to dedicate such Facilities to Licensee for public use. <br />C. Such Facilities are aligned with [RIGHT OF WAY] and consist of a 30-inch recycled <br />water pipeline measuring approximately 381 feet, buried at an average depth of 8 feet. The <br />Facilities are installed on the Property and in accordance with the plans shown on Exhibit B, <br />which is attached to this Agreement and incorporated by reference. <br />D. Licensee intends to accept Developer’s offer of dedication of the Facilities, and upon <br />acceptance of Developer’s offer of dedication, Licensee will own and be responsible for the <br />maintenance and repair of the Facilities. <br />E. Prior to Licensee’s acceptance of Developer’s offer of dedication of the Facilities, <br />Licensee desires to receive a license from Railroad for the purpose of maintaining, operating, <br />using, and repairing the Facilities (collectively “the Work”). Licensee shall use the Property <br />exclusively for the Work, as authorized by Railroad. <br />F.
