REV: 06-24-26 VR <br />penalties, and costs (including attorneys’ fees), arising from the use of the <br />Premises or Community Center common areas by Tenant, or its agents, <br />employees, invitees, volunteers, or any other person entering the Premises, or any <br />act or omission of same, except to the extent caused by the City’s gross negligence <br />or willful misconduct. The foregoing indemnity obligations shall not relieve any <br />insurance carrier of its obligations under any policies carried by either Party under <br />this Agreement. <br />9.2 Tenant waives any and all claims against City for damage to any property, <br />or injury or death of any person, on the Premises or Community Center common <br />areas, except to the extent caused by the City’s gross negligence or willful <br />misconduct. <br />9.3 The obligations of Tenant under this Section shall survive the termination or <br />expiration of this Agreement <br />10. Insurance. Tenant shall maintain in full force in effect at all times during this <br />Agreement, the insurance coverages as set forth in the attached Exhibit “C” incorporated <br />herein. <br />11. No Assignment or Sublease Without Written Consent. Tenant shall not assign this <br />Agreement or sublet any or a portion of the Premises, without the prior written consent of <br />City in its sole discretion. <br />12. Termination. Either Party may terminate this Agreement by providing ninety (30) <br />days’ written notice of such termination. <br />13. Holding Over. If Tenant remains in possession of all or part of the Premises after <br />the expiration or termination of this Agreement, such tenancy shall be on a month-to- <br />month basis on the same terms of this Agreement, and shall not considered a renewal or <br />extension of the Agreement. <br />14. Surrender. Upon the expiration or termination of this Agreement, Tenant shall <br />surrender the Premises to City in good condition, ordinary wear and tear excepted. Unless <br />otherwise directed by City or as set forth in this Agreement, Tenant shall remove all <br />personal property, fixtures, and equipment installed by or on behalf of Tenant and repair <br />any damage caused by said removal. Any property not removed at the time of surrender <br />shall be deemed abandoned and disposed of by City. Should Tenant fail to remove any <br />personal property, fixtures, or equipment, or repair damage caused by such removal, <br />Tenant shall be liable to City for any and all costs of removal, disposal, transportation, <br />storage, and/or repair. Tenant shall indemnify City against any loss, damage, or liability <br />resulting from delay by Tenant in surrendering the Property under this Section, including <br />any claims made by any succeeding tenants resulting from such delay. <br />ATTY/AGR.2026.161/Community Overcoming Relationship Abuse (CORA) (Page 6 of 12)
