EXHIBIT "A"

SCOPE OF SERVICES

o The Midpeninsula Community Media Center will specify and assist in the
ordering and purchasing of the equipment, and oversee the set up of Redwood
City's web streaming operation. Any equipment purchased for Redwood City will
be reimbursed at cost.

o The Midpeninsula Community Media Center will encode and index up to 28
Redwood City Council Meetings for one year, for a total annual of cost of
$11,266, billed in monthly payments of $938.83.

o The cost includes backup of all compressed files onto DVD-R's, recorded as data
files, and sent to the city on a monthly basis.

o The Midpeninsula Community Media Center will provide one year of storage for
each meeting on the Midpeninsula Community Media Center's QuickTime
server. Extended storage can be negotiated for an additional year at $10 per gig.
Bandwidth is free.

o We anticipate that the capacity of our server and Internet connection will be
adequate for the number of simultaneous viewers for the services we offer.
However, should either of these capacities be exceeded, we cannot be held
responsible for viewers who have difficulty receiving the streamed content as a
result. It is the Midpeninsula Community Media Center's intention to increase
these capacities should the need arise.

o The Midpeninsula Community Media Center will email the QuickTime reference
movie files for each indexed meeting to the City's web master, or somebody
designated by the webmaster. The files will be displayed on a City web page as
determined by City staff.

o The reference movies will be provided to the City within three business days from
when we receive the recorded meeting in the form of a captured data file. If a
technical problem prevents the capture of that file, a videotape or DVD can be
substituted. Extenuating circumstances that might prevent that three-business
day timetable include computer malfunction, sickness of all trained staff, and
natural disasters. In all cases we will endeavor to provide faster turnaround.

Agreement over $1 OK 10
City Attorney Approved Version 111803
