<br />01/11/2010 <br /> <br />1.6 Primary Coveraae. For any claims related to Permittee's activities under <br />the Event Permit, t~e Permittee's insurance coverage will be primary insurance <br />with respect to the City, Redevelopment Agency of Redwood City, their officers, <br />agents, volunteers and employees. Any insurance or self-insurance maintained <br />by City or Redevelopment Agency for itself, its officers, agents, volunteers and <br />employees, will be in excess of Permittee's insurance and not contributory with it. <br /> <br />1.7 Reduction in Coveraae/Material Chanaes. Permittee will notify City and <br />Redevelopment Agency thirty (30) days prior to any reduction in any of the <br />insurance coverage required pursuant to Permittee's Event Permit, or any <br />material changes to the respective insurance policies. <br /> <br />2. Indemnification. Permittee will defend, indemnify and hold harmless the <br />Redwood City Redevelopment Agency, the City of Redwood City and their officers, <br />agents, employees and volunteers from and against all claims, damages, losses and <br />expenses including attorney fees arising out of the events conducted pursuant to the <br />Event Permit, caused in whole or in part by the willful misconduct or any negligent act or <br />omission of the Permittee"any subcontractor, anyone directly or indirectly employed by <br />any of them or anyone for whose acts any of them may be liable, except where caused <br />by the active negligence, sole negligence, or willful misconduct of City and/or <br />Redevelopment Agency. <br /> <br />Any reasonable payment, attorney's fee, cost or expense City and/or Redevelopment <br />Agency incurs or makes to or on behalf of an injured employee under the City's self- <br />administered workers' compensation is included as a loss, expense or cost, and this <br />section will survive the expiration or early revocation of the Event Permit. <br /> <br />Page 21 of21 <br /> <br />Admin.
