<br />B. Rates. Amounts and Terms of Pavment <br /> <br />The amounts, rates and terms of payment shall be specified in the Exhibits, the Alcohol and <br />Other Drug Services Policy and Procedure Manual and Attachments to this Agreement. Any <br />rate increase is subject to the approval of the Chief of the Health System or designee, and shall <br />not be binding on County unless so approved in writing. <br />In no event shall the maximum County obligation exceed the total specified in paragraph 3.A. <br />above. unless a duly executed written Amendment to this Agreement authorizes an increase. <br />Each payment shall be conditioned on the satisfactory performance of the services described in <br />the Exhibits herein. In the event the Chief of the Health System or designee determines that <br />Contractor has not satisfactorily performed services. and therefore decides to withhold payment, <br />the Chief, or designee shall issue written findings of unsatisfactory performance of services <br />within seven (7) days of any decision to withhold payment. <br /> <br />C. Time Limit for Submittina Invoices <br />Contractor shall submit an invoice for services to County in accordance with the provisions of <br />the Exhibits and Attachments herein. County shall not be obligated to pay Contractor for the <br />services covered by any invoice if Contractor presents the invoice to County more than one <br />hundred eighty (180) days after the date Contractor renders the services, or more than ninety <br />(90) days after this Agreement terminates, whichever is earlier. To ensure full and timely <br />payment for services provided, Contractor is required to submit invoices for services provided <br />no later than the tenth (10th) day of each month. <br /> <br />4. Term and rermlnation <br />Subject to compliance with all terms and conditions, the term of this Agreement shall be from <br />November 3, 2009, through June 30, 2011. <br /> <br />This Agreement may be terminated by Contractor, the Chief of the Health System or designee <br />at any time without a requirement of good cause upon thirty (30) days' written notice to the <br />other party. <br /> <br />In the event of termination, all finished or unfinished documents, data, studies, maps, <br />photographs, reports, and materials (hereafter referred to as materials) prepared by Contractor <br />under this Agreement shall become the property of the County and shall be promptly delivered <br />to the County. Upon termination, the Contractor may make and retain a copy of such materials. <br />Subject to availability of funding, Contractor shall be entitled to receive payment for <br />work/services provided prior to termination of the Agreement. Such payment shall be that <br />portion of the full payment which is determined by comparing the work/services completed to <br />the work/services required by the Agreement. <br /> <br />5. Availability of Funds <br />The County may tenninate this Agreement or a portion of the services referenced in the <br />Attachments and Exhibits based upon unavailability of Federal, State, or County funds, by <br />providing written notice to Contractor as soon as is reasonably pOSSible after the County learns <br />of said unavailability of outside funding. <br /> <br />&. Relationship of Parties <br />Contractor agrees and understands that the work/services performed under this Agreement are <br />performed as an independent Contractor and not as an employee of the County and that <br />Contractor acquires none of the rights, privileges, powers, or advantages of County employees. <br /> <br />Page 2 of 13 <br />
