Seismic Vulnerability Study

on how R WC might wish to use this software for long term usage, software
customization may be suitable, which would be done under separate agreement.

The findings from Task 5 will be provided to WY A for inclusion in the overall capital
improvement program that will be developed by WY A.

Task 6 SERA (Optional)

As discussed in Task 2, the seismic vulnerability effort may be performed using
conventional methods, supplemented by EXCEL spreadsheets for results. Should
Redwood City wish to automate this process in SERA, we estimate an additional 64
manhour effort, primarily to convert data into SERA format. The benefit of SERA is that
it provides easy-to-understand maps and detailed listings of damage for any type of
earthquake that might affect Redwood City (including all tanks, pump stations, pieces of
critical equipment and every pipe), considering ground shaking, liquefaction, landslide
and faulting hazards. SERA also provides a useful tool to examine the expected
performance of the Redwood City system after any actual earthquake (generally
magnitude 3.5 or higher) using USGS-developed (real time) ShakeMaps.

We have found that SERA is also useful for communicating highly technical results to
management, Boards of Directors, and the public. This is often helpful in helping making
decisions for capital funding of projects.

The SERA license is as follows. The software is provided at no cost and with no annual
maintenance costs.

SERA License Agreement

The SERA software is perpetually licensed to the City of Redwood City (City). The
SERA software developed by G&E Engineering Systems, Inc. (G&E) is not property of
City .

City may use this software for City's own use, and may not release this software, or allow
such software to be used, directly or indirectly, to any third party, without the prior
written consent of G&E. City may have third parties use this software only for use on
projects specifically for City.

City may have a third party use this software, executable versions only, for the
performance of work exclusively for City, provided that such third parties have entered
into a written agreement with G&E, prior to third parties use of such software, that
requires such third parties to abide with all provisions of this LICENSE agreement; and
such third parties may not copy or use such software for its own use; and such third
parties respect all G&E copyrights and property rights.

October 9, 2009

Page 9
