All notices under <br />this Agreement shall be in writing, shall be properly addressed and shall be sent by <br />personal delivery; by United States Mail (certified, return receipt requested and postage <br />prepaid), or by Federal Express or similar overnight courier delivery service. All such <br />notices shall be considered delivered: (i) if personally delivered, on the date of delivery; <br />(ii) if sent by United States Mail in the manner prescribed above, on the date shown on <br />the return receipt for acceptance or rejection; or (iii) if sent by overnight courier delivery <br />service, on the date of delivery as shown by the delivery record of such service. <br /> <br />(e) Time of Essence. Time is of the essence of this Agreement and each and <br />every provision hereof. <br /> <br />(f) Survival. All representations and warranties in this Agreement shall survive <br />the Close of Escrow for a period of twenty-four months unless otherwise indicated and <br />shall not be deemed merged into any instrument conveying title to Buyer. <br /> <br />(g) Signina in Counteroart. This Agreement and any supplement, addendum or <br />modification relating hereto, including any photocopy or facsimile thereof, may be <br />executed in two or more counterparts, all of which shall constitute one and the same <br />writing. <br /> <br />(h) Indeoendent Counsel. Each party acknowledges that it has consulted with <br />or had the opportunity to consult with independent counsel of its own choosing in <br />connection with the negotiation and execution of this Agreement. <br /> <br />24. NATURAL HAZARDS AND EARTHQUAKE SAFETY DISCLOSURE.
