TERMINATION. <br />Either party may terminate this Agreement at any time after providing written <br />notification at least thirty (30) days prior to the intended termination date to the <br />Parties specified below. <br /> <br />8. MISCELLANEOUS. <br /> <br />8.1 Comoliance With Laws. Licensee will comply with all applicable local, <br />state and federal laws and regulations including those prohibiting <br />discrimination and harassment. <br /> <br />8.2 Venue and Jurisdiction. Licensee agrees and stipulates that the proper <br />venue and jurisdiction for resolution of any 'disputes between the parties <br />arising out of this Agreement is the Superior Court, San Mateo County, <br />California. <br /> <br />8.3 Assianment. Licensee may not assign this Agreement or any part of it, or <br />any monies due or to become due under it, without the prior written <br />consent of Licensor. <br /> <br />8.4 Amendments. This Agreement may be amended by mutual consent of <br />Licensor and Licensee. Any amendment will be in writing, signed by both <br />parties, with a statement of the changes in charges or time schedule. <br /> <br />9.
