Paragraph 25 is hereby added to read as follows: <br /> <br />"25.TRANSFER OF OWNERSHIP <br /> <br />25.1 The dissolution, merger, consolidation, or other reorganization of the <br />corporation, association, partnership or limited liability company or the <br />sale or other transfer of fifty one percent (51 %) or more of the assets of <br />the business entity shall be deemed an assignment within the meaning <br />and provisions of this Paragraph. If the Licensee shall assign fifty one <br />percent (510/0) or more of the ownership, Licensee shall provide written <br />notice sixty (60) days before the assignment. The Licensor shall have the <br />right to renegotiate the Agreement, including the terms, fees, or any and <br />all portions of the Agreement, and Licensor shall have the right to <br />terminate the License if the new entity does not accept the City's new <br />proposed terms and conditions." <br /> <br />5. Paragraph 26 is hereby added to read as follows: <br /> <br />"26. AMENDMENT <br /> <br />26.1 The following terms of this Agreement may be administratively amended <br />only in writing and by mutual agreement between the Agency and the <br />Licensee: monthly rents, late charges, and consumer price index <br />adjustments (collectively the "administrative amendments"). The <br />Executive Director or his designee shall have the authority to execute the <br />aforementioned administrative amendments." <br /> <br />6. All other provisions of the Agreement, as may have been amended from time to <br />time, will remain in full force and effect. <br /> <br />7. All requisite insurance policies to be maintained by the Licensee pursuant to the <br />Agreement, as may have been amended from time to time, will include coverage for <br />this Amendment. <br /> <br />8.
