parties regarding the subject matter of this Permit and all prior written or oral negotiations, <br />discussions, understandings, and agreements regarding such subject matter are merged herein. <br />(d) This Permit shall be governed by California law. (e) If either party commences an action <br />against the other or a dispute arises under this Permit, the prevailing party shall be entitled to <br />recover from the other reasonable attorney's fees and costs. For purposes hereof and for <br />purposes of the indemnifications set forth herein, reasonable attorney's fees of City or Permittee <br />shall be based on the fees regularly charged by private attorneys in San Francisco with <br />comparable experience notwithstanding City's or Permittee's use of its own attorneys. (f) This <br />Permit may be executed in counterparts, each of which is deemed to be an original, and all such <br />counterparts constitute one and the same instrument.
