Any failure of a party to insist upon strict compliance with any term, undertaking or condition <br />of this Agreement shall not be deemed to be a waiver of such term, undertaking, or <br />condition. To be effective, a waiver must be in writing, and signed by the parties hereto. <br /> <br />10.07. This Agreement shall be governed by California law and any action arising out of it shall be <br />instituted and prosecuted only in the municipal or superior court of Contra Costa County, <br />State of California. <br /> <br />10.08. This Agreement instrument constitutes the entire agreement between the parties.
