<br />ORIGINAL <br /> <br />AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF <br />REDWOOD CITY AND THE Port of Redwood City <br /> <br />THIS AGREEMENT is made and entered into as of the /Sih day of v t.J,J~ 2010 <br />by and between THE CITY OF REDWOOD CITY, hereinafter referred to as "RWC", and Port <br />of Redwood City, hereinafter referred to as "PORT". <br />RECITALS <br /> <br />This Agreement is entered into with reference to the following facts and circumstances: <br />A. That PORT desires to engage RWC to render certain Information Technology services <br />to PORT related to carrying on the day to day technology related operations of PORT. <br />B. That RWC is qualified to provide such services to PORT; and <br />C. That PORT has elected to engage the services of RWC upon the terms and conditions <br />as hereinafter set forth. <br /> <br />TERMS AND CONDITIONS <br /> <br />1. Services. <br />The services to be performed by RWC under this Agreement shall include those <br />services set forth in Exhibit A, which is by this reference incorporated herein and made a part <br />hereof as though it were fully set forth herein. <br />Performance of the work specified in said Exhibit A is hereby made an obligation of <br />RWC under this Agreement, subject to any changes that may be made subsequently hereto upon <br />the mutual written agreement of said Parties. <br />Where in conflict, the terms of this Agreement supersede and prevail over any terms <br />set forth in Exhibit A. <br />2. Term of Agreement. <br />Said services shall commence on July 1, 2010 and shall continue until June 30, 2011, <br />or until terminated by sixty (60) days prior written notice by either Party. <br />3. Compensation. <br />PORT agrees to purchase 36 hours at a rate of $138.43 per hour, for a total <br />agreement amount of $4,983.00. Payment under this Agreement shall be as per Exhibit A. <br />4: Effective Date of Agreement. <br /> <br />1 <br />
