<br />Agreement No. <br /> <br />6.1A <br />Page 9 <br /> <br />Licensee's permit interest thereon awarded to Licensee shall be assigned to Railroad. <br /> <br />22. Governing Law. The rights and obligations of the parties under this Agreement <br />shall be interpreted in accordance with the laws of the State of California as applied to contracts <br />that are made and performed entirely in California. <br /> <br />23. Effect of Headings. The headings of the paragraphs of this Agreement are <br />included for purposes of convenience only, and shall not affect the construction or interpretation <br />of any of its provisions. <br /> <br />24. Integration. This Agreement constitutes the complete expression of the <br />agreement between the parties and supersedes any prior agreements, whether written or oral, <br />concerning the subj ect of this Agreement, which are not fully expressed in this Agreement. The <br />parties intend this Agreement to be an integrated agreement. Any modification of or addition to <br />this Agreement must be in writing signed by both parties. <br /> <br />25. Counterparts.
