Assignment <br /> <br />7. This Agreement, including any interest in this Agreement, shall not be <br /> assigned without the prior written consent of the other party. Any purported <br /> assignment of this Agreement or of any interest in this Agreement without <br /> the prior written approval of the other party shall be void and of no effect. <br /> <br />Entire Agreement <br /> <br />8. This Agreement constitutes the entire agreement between Grantor and <br /> Grantee relating to the above Encroachment. Any prior agreements, <br /> promises, negotiations, or representations not expressly set forth in this <br /> Agreement are of no force and effect. Any amendment to this Agreement <br /> shall be of no force and effect unless it is in writing and approved and signed <br /> by City's City Manager and by District's Superintendent. <br /> <br />Binding Effect <br /> <br />9.
