<br />. , <br /> <br />ORIGINAL <br /> <br />AGREEMENT FOR DOWNTOWN EVENT PROGRAMMING <br />(Labadie Productions) <br /> <br />AGREEMENT is made and entered into as of the ~t./ day of <br />, 2010, by and between the RED 000 CITY <br />PENT AGENCY, a public body, corporate and politic, duly organized and <br />existing n the laws of the State of California ("Agency"), and Bruce Labadie of <br />Labadie Productions, a sole proprietorship ("Consultant") (collectively, the "Parties"). <br /> <br /> <br />RECIT ALS <br /> <br />A. Agency requires the professional services of an event coordinator that is <br />experienced in organizing public events and activities for downtowns. <br /> <br />B. Consultant has the necessary experience in providing professional <br />services and advice related to securing bands and managing outdoor public events. <br /> <br />C. The Consultant is expected to achieve the desired results of attracting <br />local residents as well as residents and visitors within the rest of the San Francisco Bay <br />Area region to come to and invest in the City's downtown as part of the Agency's <br />revitalization goals. <br /> <br />O. The Consultant has affirmed its willingness and ability to perform such <br />work as prescribed in the scope of services. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. Scope of Work. Agency retains Consultant to perform, and Consultant agrees to <br />render, those services (the "Services") that are defined in attached Exhibit "A," which is <br />incorporated by this reference in accordance with this Agreement's terms and <br />conditions. <br /> <br />2. Standard of Performance. While performing the Services, Consultant will <br />exercise the reasonable professional care and skill customarily exercised by reputable <br />members of Consultant's profession practicing in the Metropolitan Northern California <br />Area, and will use reasonable diligence and best judgment while exercising its <br />professional skill and expertise. <br /> <br />3. Term. Unless earlier terminated, the term of this Agreement will commence on <br />July 1, 2010 and shall expire on June 30, 2011. <br /> <br />4. Schedule. Consultant will generally adhere to the schedule set forth in Exhibit <br />"A" hereof, attached hereto and by this reference incorporated herein; provided, that <br />Agency will grant reasonable extensions of time for the performance of such services <br />occasioned by unusually lengthy governmental reviews of Consultant's work product or <br /> <br />ATTY/AGR/2010.037 <br />042810 <br /> <br />1 <br />
