ORIGINAL <br /> AMENDMENT NO. FIVE TO EXTEND <br /> Agreement for Electrical Maintenance Services <br /> Republic ITS <br /> n This Amendment No. FIVE is entered into and effective as of the?ol day of <br /> V ets lo -tic , 2010, extending the agreement dated July 27, 2010 <br /> (the "Agreement ") by and between the City of Redwood City, a charter city and <br /> municipal corporation of the State of California ( "City "), and Republic ITS , <br /> ( "Consultant ") (collectively, the "Parties ") for electrical maintenance services. <br /> RECITALS <br /> A. On July 27, 2010, the Parties executed Agreement for Electrical <br /> Maintenance Services, Republic ITS; and <br /> B. On September 27, 2010 the Parties executed Amendment No. ONE to <br /> extend Agreement for Electrical Maintenance Services for a period of 30 days; and <br /> C. On October 27, 2010 the Parties executed Amendment No. TWO to <br /> extend Agreement for Electrical Maintenance Services for a period of 30 days; and <br /> D. On November 8, 2010 the Parties executed Amendment No. THREE to <br /> extend Agreement for Electrical Maintenance Services for a period of 30 days; and <br /> E. On November 29, 2010 the Parties executed Amendment No. FOUR to <br /> extend Agreement for Electrical Maintenance Services for a period of 30 days; and <br /> F. The Parties wish to extend this Agreement for 30 days for the period of <br /> December 27, 2010 to January 27, 2011 <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. That the Agreement, as may have been amended from time to time, is <br /> hereby extended for a period of 30 days ending on January 27, 2011 and Consultant <br /> will be paid a not to exceed amount of Fifty Thousand dollars <br /> ($ 50,000 ). <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not -to- exceed Fifty <br /> Thousand dollars ($ 50,000 ). Consultant will provide City, on a monthly <br /> basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, <br /> and related activities and costs for approval by City. <br /> 3.
