<br />6.1B <br />Page 8 <br /> <br />19. Governing Law. This Agreement, regardless of where executed, shall be governed by <br />and construed to the laws of the State of California. Venue for any action regarding <br />this Agreement shall be in the Superior Court of the County of San Mateo. <br /> <br />20. Authority to Enter into Agreement. Each party warrants that the individuals who <br />have signed this Agreement have the legal power, right, and authority to make this <br />Agreement and to bind each respective party. <br /> <br />21. Paragraph Headings. Paragraph headings as used herein are for convenience only, and <br />shall not be deemed to modify, amend, or in any way charge the meaning of the <br />content of the respective paragraphs to which they pertain. <br /> <br />22. Integration.
