<br />6.1D <br />Page 3 <br /> <br />LIVE PERFORMANCE AGREEMENT <br />(Zoppe) <br /> <br />This Agreement is made and entered into as of the day of , <br />2010, by and between the City of Redwood City Redevelopment Agency, (the <br />"Agency"), and Zoppe, an Italian Theatrical Circus, ("Performers") (collectively, the <br />"Parties") <br /> <br />IN CONSIDERATION of the mutual promises set forth herein, and for other good <br />and valuable consideration, the receipt of which is hereby acknowledged, the Agency <br />hereby engages New World Classics ("Agent"), care of Kerby Lovallo as agent to Zoppe <br />to secure Performers' services upon the following terms and conditions: <br /> <br />RECITALS <br /> <br />A. On September 15, 2008, the Parties entered into a $50,000 agreement <br />with Zoppe to perform eight shows in downtown Redwood City. Simultaneously, the <br />Parties executed Amendment No. 1 to the Agreement to incorporate the Agency's <br />standard insurance requirements; and <br /> <br />B. The Agency entered into an Amendment NO.2 on September 28, 2009 for <br />$75,000 to have Zoppe return in fall of 2009 to perform 17 shows given the community <br />support and patronage to the downtown businesses from the prior year performance; <br />and <br /> <br />C. The Agency desires Zoppe to return to downtown Redwood City to <br />perform 18 shows in October 2010; and <br /> <br />D. The Agency will contribute time and materials to host Zoppe including <br />marketing, advertising, ticket sales, set up / tear down, clean up, and Parks and <br />Recreation Services Department staff time for an amount not to exceed $30,000. <br /> <br />E. The Agency has retained the services of Labadie Productions per the <br />Agreement for Downtown Event Programming, July 16, 2010 to assist with the event <br />management of Zoppe. <br /> <br />F. The return of Zoppe will be of benefit to the Redevelopment Area and the <br />immediate neighborhoods, there are no other reasonable means of financing the Circus <br />available to the City other than the Redevelopment Agency, and Zoppe will contribute to <br />the Agency's goals and objectives for the Redevelopment Area. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />A TTY/AGR/201 0.059 <br />072710 <br />
