4. An Acquisition Agreement {the "Acquisition Agreement"}, dated as of <br /> June 15, 1986, by and between the Authority and the City, by which the <br /> Authority will acquire the Leased Premises from the City. <br /> <br /> 5. A Capital Account.Agreement {the "Capital Account Agreement"}, dated <br /> as of June 15, 1986, by and between the Authority and the City, by <br /> which the City has agreed to cause the proceeds from the sale of the <br /> Leased Premises to be used for the acquisition and construction of the <br /> Projects within three years from the date hereof. <br /> <br /> 6. An Official Statement (the "Official Statement"), to be used to <br /> provide information to prospective purchasers of the Bonds. <br /> <br /> WHEREAS, in order to go forward with the acquisition of the Leased <br />Premises, the acquisition and construction of the Projects and other <br />improvements and the issuance and sale of the Bonds for the foregoing purposes, <br />it is necessary to authorize and direct the acquisition of the Leased Premises <br />and the execution of the foregoing documents, to approve the form of the <br />Official Statement and to authorize and direct the Authority's officers and the <br />City's staff to undertake all steps necessary to conclude the issuance of the <br />Bonds. <br /> <br /> NOW, THEREFORE, the City Council of the City of Redwood City, acting as <br />the governing body of the Redwood City .Public Facilities and Infrastructure <br />Authority, DOES HEREBY RESOLVE and ORDER as follows: <br /> <br /> SECTION 1. The foregoing recitals are true and correct and the Authority <br />so finds and determines. <br /> <br /> SECTION 2. The acquisition of the Leased Premises at a purchase price of <br />$13,955,000, is hereby approved and the Chairperson or Vice Chairperson and the <br />Secretary or Assistant Secretary of the Authority are hereby authorized to <br />execute and attest all documentation in connection therewith including, but not <br />limited to, the Acquisition Agreement and the certificate of acceptance to be <br />attached to the Grant Deed of the City and the requisition to the Trustee <br />approving the payment to the City of the purchase price for the Leased Premises. <br /> <br /> SECTION 3. The Lease, Indenture, Purchase Contract, the Acquisition <br />Agreement and the Capital Account Agreement {collectively, the "Financing <br />Documents"} are hereby approved, and the Chairperson or Vice Chairperson and the <br />Secretary or Assistant Secretary of the Authority are hereby authorized and <br />directed to execute and attest the same on behalf of the Authority, in <br />substantially the form now before the Authority, but with such changes, <br />modifications, additions or deletions therein as shall seem necessary, desirable <br />or appropriate to the City Attorney or Bond Counsel, their execution thereof to <br />constitute conclusive evidence of their approval of any and all changes, <br />modifications, additions or deletions therein from the form and content of the <br />Financing Documents now before this Authority, and that from and after the <br />execution, attestation and delivery of the same, the Chairperson or Vice <br />Chairperson, and Secretary or Assistant Secretary are hereby authorized, <br />empowered and directed to do all such acts and things and to execute all such <br />documents as may be necessary to carry out and comply with the provisions of the <br />Financing Documents as executed. <br /> <br /> 2 <br /> <br /> <br />
