<br />~ <br />4'(!)O 5 20 <br /> <br />LICENSE AGREEMENT <br /> <br />(San Mateo County) <br /> <br />This License Agreement ("Agreement" or "License") is entered into as o~~ <br />2010 ("Effective Date"), by and between the PENINSULA CORRIDOR JOINT R S <br />BOARD, a public agency ("JPB"), and the SAN MATEO COUNTY TRANSIT TRICT, a <br />public agency ("SamTrans"), collectively referred to herein as "Railroad" and the CITY OF <br />REDWOOD CITY ("Licensee"). <br /> <br />RECITALS: <br /> <br />A. Railroad is the owner of the Peninsula Corridor railroad right-of-way ("Right-of- <br />Way") and, more particularly, of that certain real property which is located in Redwood City, <br />CA, in the vicinity ofMP 26.06~s depicted on Exhibit A, which is attached to this Agreement <br />and incorporated into it by this reference (the "Property"). JPB contracts with an operator <br />("Operator"), currently the National Railroad Passenger Corporation, to operate the commuter <br />rail service on the Right-of-Way. The Operator also oversees maintenance of the Right-of-Way, <br />including the Property. <br /> <br />B. Licensee owns and operates a sanitary sewer (the "Facilities") upon the Property <br />as shown on Exhibit B, which is attached to this Agreement and incorporated into it by this <br />reference. The Facilities are installed within the area (the "License Area") shown on Exhibit A. <br />Licensee desires to receive a license for the purpose of reconstructing, installing, maintaining, <br />operating, using and repairing the Facilities (collectively "the Work"). <br /> <br />C. Licensee will maintain and repair the Facilities. <br /> <br />D. Railroad is willing to grant a License to Licensee on the terms and conditions <br />hereinafter set forth for the purposes of performing the Work. <br /> <br />FOR VALUABLE CONSIDERATION, the receipt of which is acknowledged, the parties <br />agree as follows: <br /> <br />1. Grant of License. Subject to the conditions, covenants and restrictions of this <br />Agreement, Railroad grants to Licensee a personal, revocable license for the purposes of <br />installing and maintaining the Facilities and performing the Work in the License Area, together <br />with necessary rights of ingress and egress over the Property for these purposes in the location <br />described in Exhibit A. <br /> <br />2. Maintenance of Improvements. Following completion of the Facilities, Licensee <br />will own, maintain and repair the Facilities at its sole cost.
