DES:dft 6 ~20/91 (069/29) <br /> <br />amount of money which will be sufficient to discharge its <br />obligations under the Lease Agreement and thereby provide amounts <br />to advance refund all of the outstanding Bonds and discharge the <br />Indenture; and <br /> <br /> WHEREAS, the Authority wishes to approve such proceedings <br />and authorize the officers of the Authority to take all actions <br />in furtherance thereof; <br /> <br /> NOW, THEREFORE, the City Council of the City of Redwood <br />City, acting as the governing body of the Redwood City Public <br />Facilities and Infrastructure Authority, does hereby resolve and <br />order as follows: <br /> <br /> 1. The Authority does hereby approve the institution and <br />completion of proceedings to advance refund and discharge all of <br />the outstanding Bonds pursuant to Sections 4.01(b) and 10.01 of <br />the Indenture from amounts deposited by the City with the Trustee <br />for such purpose pursuant to Section 4.9 of the Lease Agreement, <br />and in connection therewith does hereby authorize the discharge <br />of the Indenture and Lease pursuant to Section 10.01 of the <br />Indenture and Section 4.9 of the Lease Agreement, respectively, <br />and the reconveyance of the Leased Premises pursuant to Section <br />4.11 of the Lease Agreement. <br /> <br /> 2. This Authority does hereby further authorize each and <br />every officer of the Authority to execute such agreements, <br />requests, certificates, instruments of conveyance and other <br />documents as may be necessary or convenient to give effect to <br />such advance refunding of the Bonds and to discharge the <br />Indenture and the Lease Agreement in accordance with their <br /> <br /> 2 <br /> <br /> <br />
