7.A <br /> A� Page�11 <br /> AGHME�R <br /> �. <br /> AMENDMENT NO. 4 T� EXTEND AND AMEND AGREEMENT FOR <br /> Professional Services Agreement for Initial Review and Analysis of the "Saltworks <br /> 50150 Balanced Plan" Entitlement Application <br /> (Hart Hower�on, Ltd.) <br /> This Amendment No. 4 is entered into and effective as of the day of <br /> , 2010, extending and amending the agreement dated <br /> September 5, 2009 (the "Agreement") by and between the City of Redwood City, a <br /> charter city and municipal corporation of the State of California ("City"), and Hart <br /> Howerton, Ltd., ("Consultant") (collectively, the "Parties") <br /> RECITALS <br /> A. On September 5. 2009, the Parties executed Professional Services <br /> Agreement for Initial Review and Analysis of the "Saltworks 50150 Balanced Plan" <br /> Entitlement Application; and <br /> B. On December 3, 2009, the Parties executed Amendment No. 1 to alter the <br /> Agreement's scope of work to expand professional services and related fees for Hart <br /> Howerton's subconsultant, Vl/hit Manley of Remy, Thomas, Moose and Manley, LLP; <br /> and <br /> C. On January 8, 2010, the Parties executed Amendment No. 2 to extend the <br /> agreement for a period of nine weeks; and <br /> D. On February 18, 2010, the Parties executed Amendment No. 3 to extend <br /> the agreement for a period of five months; and <br /> E. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit"A," Scope of Services and Fee. <br /> NQW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in <br /> Exhibit "A." With this Amendment, the total annual Agreement amount shall not exceed <br /> One Million Six Hundred Seventy Nine Thousand Three Hundred Twenty Four pollars <br /> ($1,679,324). <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed Eight Hundred <br /> Sixty Eight Thousand Two Hundred Seventy Four pollars ($868,274).
