<br />1. Performances. The performance, to be held in a one-ring circus tent, will star Nino <br />the clown, with acrobatics, equestrian showmanship, canine capers, clowning, and <br />audience participation. The dates, times and place listed below (collectively, the <br />"Performances". <br /> <br />2. Place of Performance. The Performers shall perform outdoors in a City-owned <br />parking lot located at the corner of Jefferson Avenue and Middlefield Road and <br />adjacent to the Redwood City Public Library in downtown Redwood City. <br /> <br />3. Schedule of Performances. The Performances shall take place pursuant to the <br />schedule set forth in Exhibit "A" attached hereto and incorporated herein by this <br />reference (the "Schedule of Performance"). <br /> <br />4. Compensation. The Agency agrees to pay a total sum of $75,000 ("Performance <br />Fee") for the rendition of Performers' services described above. The Agency will <br />contribute up to $30,000 for time and materials including, but not limited to, <br />marketing, advertising, labor costs for tent setup/tear down, clean up, Parks and <br />Recreation Services Department staff time as shown in Exhibit "B". <br /> <br />The Performance Fee shall be payable as follows: <br /> <br />(a) Upon execution of this Agreement and completing Section 16 Insurance, <br />the Agency shall pay to "New World Classics," as the business agent for Performers <br />("Agent"), in an amount of $25,000. The Agency shall mail the check to the address <br />listed in Section 8 Notice. <br /> <br />(b) Upon arrival of Performers to the Place of Performance for setup as set <br />forth in the Schedule of Performance, the Agency shall pay to Performer an amount <br />equal to $25,000. Payment shall be made payable to "Giovanni Zoppe". The check will <br />be hand delivered to Giovanni Zoppe at the Place of Performance by the Agency. <br /> <br />(c) Two (2) days prior to the final day of performance, the Agency shall pay <br />the remaining balance of $25,000. Payment shall be made payable to "Giovanni <br />Zoppe". The check will be hand delivered to Giovanni Zoppe at the Place of <br />Performance by the Agency. <br /> <br />5. Arrival and Set-Up Time. Performers must arrive no later than one hour prior to <br />performance time on date specified. At least one hour prior to the time of the first <br />performance of the day, the Agency shall provide Performers and their designated <br />representatives sufficient access to the Place of Performance for set-up and sound <br />check. <br /> <br />6. Technical Requirements. The Agency shall provide the technical requirements as <br />set forth in the Technical Requirements Rider attached hereto as Exhibit "C" and <br />incorporated herein by this reference. <br /> <br />ATTY/AGR/2010.059 <br />072710 <br /> <br />2 <br />
