EXHIBIT "A" <br /> SCOPE OF SERVICES AND FEE <br /> Sares Regis Group of Northern California, L.P. (Consultant) will provide consultation services <br /> related to the site acquisition, planning and due diligence for a replacement jail for San Mateo <br /> County. The following is a list of services to be performed by Consultant, or others at direction of <br /> Consultant, from September through December: <br /> Site Acquisition Services <br /> a. Negotiate purchase prices with sellers. <br /> b. Coordinate acquisitions with the Title Company and legal support. <br /> c. Coordinate with City and County on CEQA issues related to site acquisition. <br /> d. Coordinate with City and County on the preparation of Option Agreements. <br /> e. Coordinate with City and County on a Memorandum of Understanding related to <br /> key issues surrounding development of the site. <br /> f. Coordinate with City and County on the preparation of staff reports for Board <br /> meetings. <br /> g. Assist the City and County with existing tenant relocation cost negotiations. <br /> Il. Due Diligence <br /> a. Complete due diligence for the acquisition of the assembled parcels at Chemical <br /> Way. <br /> HI. Site Planning / Design <br /> a. Provide project management services for site planning by retaining, coordinating, <br /> and managing consultants to study architectural, environmental, and civil <br /> engineering issues related to the Chemical Way site. Work will include <br /> coordination with the County's Jail Planning Architect and the City's waterfront <br /> planner. <br /> b. Support the County in developing cost estimates for the site improvements, and <br /> comparisons to the Motorpool site cost estimates. <br /> IV. Project Management and Coordination <br /> a. Coordinate, lead, and track the status of weekly coordination meetings with the <br /> County, Sheriff, City, and consultants. <br /> b. Attend other meetings with County staff, City staff, or outside consultants as <br /> needed to complete the scope of work outlined above. <br /> c. Assist the City Manager with staff reports for Board Meetings, as required, for any <br /> decisions related to the new jail site acquisition or planning. <br /> d. Provide schedules, budgets, and cost tracking reports as reasonably requested <br /> by the City and County. <br /> V. Outside Consultants: <br /> a. Retain, coordinate, and manage an environmental consultant and civil <br /> engineering firm to support the services outlined above. <br /> We propose to complete this scope of services between October 1, 2010 and December 31, <br /> 2010, for a fee of $232,500, to be allocated as indicated in the attached Exhibit "R." <br /> 3 <br />
