• <br /> ORIGIIAL <br /> AMENDMENT NO. 2 TO THE AGREEMENT FOR CONSULTANT SERVICES FOR <br /> THE SITE SELECTION AND DUE DILIGENCE FOR A REPLACEMENT JAIL FOR <br /> SAN MATEO COUNTY WITH <br /> SARES REGIS GROUP OF NORTHERN CALIFORNIA, L.P. This Amendment No. 2 is entered into and effective as of the 14 of <br /> , 2011, amending the agreement dated September 20, 2010 (the <br /> "Agreement ") y and between the City of Redwood City, a charter city and municipal <br /> corporation ( "City "), and SARES REGIS GROUP OF NORTHERN CALIFORNIA, L.P, a <br /> California Limited Partnership, ( "Consultant ") (collectively, the "Parties "). <br /> RECITALS <br /> On September 20, 2010, the Parties executed the agreement for consultation <br /> services for the site selection and due diligence for a replacement jail for San Mateo <br /> County and there is some remaining work to finalize the contractual agreements. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide services related to the <br /> transition and due diligence, as assigned, including but not limited to: (1) Documenting <br /> costs for reimbursement pursuant to Memorandum of Understanding between City and <br /> County; (2) Transition project management services related to County site planning; (3) <br /> Transition RWQCB coordination with County; and (4) Relocation alternative sites for <br /> tenant Airgas. <br /> 2. The termination date of the Agreement is extended through February 28, <br /> 2011. <br /> 3. All other provisions of the Agreement, as may have been amended from <br /> time to time, will remain in full force and effect. <br /> 4. All requisite insurance policies to be maintained by Consultant pursuant to <br /> the Agreement, as may have been amended from time to time, will include coverage for <br /> this Amendment. <br /> 5. The individuals executing this Amendment and the instruments referenced <br /> in it on behalf of Consultant each represent and warrant that they have the legal power, <br /> right and actual authority to bind Consultant to the terms and conditions of this <br /> Amendment. <br /> Amendment to Change Scope and Fee Schedule <br /> City Attorney Approved Version 090103 1 <br />
