13. MISCELLANEOUS. This Note, the Deed of Trust, the Funding Agreement, the <br /> Declaration of Affordability Covenants, and any other documents executed by the parties relating thereto, <br /> embody the entire agreement between the City and Maker for the City Loan and its terms and conditions. <br /> Except in the event of a Permitted Transfer pursuant to Section 5.03 of the Declaration of Affordability <br /> Covenants, Maker shall not assign or transfer any of its interest and obligations under this Note without <br /> the express prior written consent of City. The City, at its sole option, may negotiate transfer or <br /> assumption of this Note. This Note may not be modified or amended except by an instrument in writing <br /> executed by City and Maker. This Note shall be governed by and construed in accordance with the laws <br /> of the State of California.
