6.1 B • Page 1 REPORT To the Honorable Mayor and City Council From the City Manager October 11, 2010 SUBJECT Metropolitan Transportation Commission - Program for Arterial System Synchronization RECOMMENDATION Approve, by motion, acceptance of grant assistance from the Metropolitan Transportation Commission's Program for Arterial System Synchronization, and authorize City Manager to execute the related Waiver of Claims and Indemnification Agreement. BACKGROUND The Metropolitan Transportation Commission (MTC) has selected Redwood City as a recipient of their Program for Arterial System Synchronization (PASS) grant. The purpose of this program is to provide technical and financial assistance to Bay Area agencies to help improve the operation of traffic signal systems and corridors. MTC has entered into technical services agreements with several consulting firms, under which the firms will provide assistance to the various jurisdictions. This program will provide assistance to develop improved signal timing plans at eight intersections in Redwood City along the Middlefield Road corridor, between Douglas Avenue and Jefferson Avenue. Pedestrian and bicycle signal timings will be included in the analyzed. Staff will not likely be able to perform this project without assistance during the next year. Estimated value of the grant is $20,000. To participate in this program, the City is required to enter into a Waiver of Claims and Indemnification Agreement with MTC that includes the following key provisions. • The City waives all claims against MTC for damages, loss, injury and/or liability or damages resulting from the City's participation in the program, and • The City agrees to indemnify, hold harmless, and defend MTC against any and all third party claims, demands, lawsuits, liability, loss, damages, injury and/or liability that may result from the Agency's participation in the program. MTC will retain and fund the professional consultants who will then perform the technical analysis and provide recommendations that will be implemented at the city's discretion. ALTERNATIVES Council may choose not to enter the proposed agreement with MTC. The City would then be ineligible to receive grant assistance from MTC. FISCAL IMPACT Nominal labor costs for staff to monitor the project, review deliverables, and implement recommendations will be incurred as a result of this action.
