and proposes to sponsor construction and own 15 units of supportive housing for <br /> individuals with mental health disabilities; and <br /> WHEREAS, the following exhibits are attached hereto and incorporated herein <br /> by reference: <br /> • Exhibit A: Program Services <br /> • Exhibit B: Compliance With California Labor Laws and federal requirements <br /> NOW, THEREFORE, HEREFORE IT IS HEREBY AGREED BY THE PARTIES AS <br /> FOLLOWS: <br /> 1. SERVICES TO BE PERFORMED <br /> CHDO, under the general direction of the Housing Coordinator or her authorized <br /> representative, shall perform services as described in Exhibit "A" in consideration <br /> of the payments hereinafter set forth in Exhibit "A," and work shall be performed <br /> pursuant to Exhibit "B." <br /> 2. PAYMENTS <br /> a. Maximum Amount. In full consideration of CHDO's Performance of the <br /> services described in Exhibit A, the amount that the City shall be obligated <br /> to pay under this Agreement shall not exceed One Hundred Seventy One <br /> Thousand Eight Hundred Eighty Six and 33/100 Dollars ($171,886.33) and <br /> the amount that the City shall be obligated to pay under this Agreement <br /> shall not exceed One Hundred Seventy One Thousand Eight Hundred <br /> Eighty Six and 33/100 Dollars ($171,886.33). <br /> b. Rate of Payment. The rate and terms of payment shall be as specified in <br /> Exhibit "A." Any change is subject to the approval of the Housing <br /> Coordinator or her authorized representative, and shall not be binding on <br /> City unless so approved in writing. In no event may the terms of payment <br /> be changed to the extent that the maximum City and Agency obligation <br /> shall exceed the total specified in Paragraph 2A above. Each payment <br /> shall be conditioned on the performance of the services described in Exhibit <br /> A to the full satisfaction of the Housing Coordinator or her representative. <br /> c. Time Limit for Submitting Invoices. CHDO shall submit a final invoice for <br /> payment no later than July 30, 2011. <br /> d. Standard of Service. CHDO warrants to City that it will use and account for <br /> all funds provided hereunder strictly in accordance with standards <br /> governing the use of, and accountability for, funds held and disbursed in <br /> trust. CHDO's program funded hereunder shall conform to the highest <br /> standards providing for programs of similar or like nature in the San <br /> Francisco Bay Area. CHDO shall be responsible for, and hold City and <br /> Agency harmless from, any failure to adhere to such standards. CHDO shall <br /> ATTY /AGR/2010.064 2 <br /> 072910 <br />
