C-I E -13 <br />In administering the Plan, the Administrator will be entitled, to the extent permitted by <br />law, to rely conclusively on all tables, valuations, certificates, opinions and reports <br />which are furnished by accountants, counsel or other experts employed or engaged by <br />the Administrator. <br />6.4 Indemnification of Administrator <br />The City agrees to indemnify and to defend, to the fullest extent permitted by law, any <br />Employee serving as the Administrator or as a member of a committee designated as <br />Administrator (including any Employee, or former Employee who formerly served as <br />Administrator, or as a member of such committee) against all liabilities, damages, costs <br />and expenses (including attorneys' fees and amounts paid in settlement of any claims <br />approved by the City) occasioned by any act or omission to act in connection with the <br />Plan, if such act or omission is in good faith. <br />SECTION VII — MISCELLANEOUS PROVISIONS <br />7.1 Amendment and Termination of the Plan <br />The Plan is intended to be maintained indefinitely. Notwithstanding such intention, the <br />Plan may be amended or terminated by action of the City Council. <br />7.2 No Employment Guarantee <br />Neither the establishment of the Plan, nor any modification thereof, nor the creation of <br />any fund or account, nor the payment of any benefits, shall be construed as giving to any <br />Participant or other person any legal or equitable right against the City except as herein <br />provided. Under no circumstances shall the terms of employment of any Participant be <br />modified or in any way affected hereby. The maintenance of the Plan shall not constitute <br />a contract of employment. Participation in the Plan will not give any Participant a right <br />to be retained in the employ of the City. <br />7.3 Funding <br />The Plan shall be maintained on an unfunded basis. Benefits shall be paid solely out of <br />the general assets of the City. <br />7.4 Nonassignability <br />Benefits under the Plan are not in any way subject to the debts or other obligations of the <br />persons entitled thereto and may not voluntarily or involuntarily be sold, transferred or <br />assigned. No person shall have any right, title or interest in any property of the City, or <br />to any amount provided under this Plan prior to the payment thereof to such person. <br />31 <br />10 <br />
