Performance of the work specified in said Exhibit A is hereby made an obligation <br /> of RWC under this Agreement, subject to any changes that may be made subsequently hereto <br /> upon the mutual written agreement of said Parties. <br /> Where in conflict, the terms of this Agreement supersede and prevail over any <br /> terms set forth in Exhibit A. <br /> 2. Term of Agreement. <br /> The term of this agreement shall be continuous, commencing upon a "go- live" <br /> agreement from both parties, and shall continue indefinitely until terminated by thirty (30) days <br /> prior written notice by either party. <br /> 3. Compensation. <br /> The cost to house the SharePoint server under this agreement is $150 per month <br /> plus a one -time setup fee of $500. <br /> Post implementation, additional services requested by BAWSCA during normal <br /> business hours will be charged at the RWC fiscal year 2010 -2011 hourly rate of $138.43. <br /> = Additional services requested by BAWSCA during non - normal business hours will be charged <br /> at the RWC fiscal year 2010 -2011 overtime hourly rate of $207.65. In July, 2011, RWC will <br /> invoice BAWSCA for all additional services performed, if any, during the fiscal year 2010 -11. <br /> Labor rates are adjusted annually beginning each July 1 and are in effect for the <br /> length of that fiscal year, through June 30. <br /> See Exhibit A for "additional services" descriptions. <br /> 4. Effective Date of Agreement. <br /> This Agreement becomes effective upon the go -live date agreed upon by both <br /> parties after setup and testing are complete. <br /> 5. Reliance of Professional Skill of RWC. <br /> RWC represents that it has the necessary professional skills to perform the <br /> services required and BAWSCA shall rely on such skills of RWC to do and perform the work. <br /> 6.
