4,1C-� <br />rr�.a���r.�c•� <br />_ AGREEMENT BETWEEN <br />THE SAN MATEO COUNTY CHILDREN & FAMILIES FIRST COM <br />AND <br />THE CITY OF REDWOOD CITY (REDWOOD CITY 2020) <br />SCHOOL READINESS INITIATIVE <br />THIS AGREEMENT is entered into this July 1, 2002, by and between the San Mateo County Children & Families <br />First Commission, hereinafter called "Commission," and The City of Redwood City (Redwood City 2020), hereinafter <br />called "Contractor." <br />WITNESSETH: <br />WHEREAS, pursuant to Health & Safety Code Section 130100 at seq., Commission may contract with <br />independent contractors for the furnishing of such services to or for the Commission; and <br />WHEREAS, the Exhibit A, Project Services, Exhibit B, Payments, Exhibit C, Non Discrimination declaration, and <br />Exhibit D, Intellectual Property Protocol, are attached hereto and incorporated by reference herein; <br />WHEREFORE, the Commission and Contractor agree as follows: <br />Services to be Performed <br />In consideration of the payments hereinafter set forth in Exhibit B, attached hereto and incorporated by reference <br />herein, Contractor under the general direction of the Executive Director of the Commission, or his /her authorized <br />representative, with respect to the product or result of Contractor's services, shall perform services as described <br />in Exhibit A, attached hereto and incorporated by reference herein, which includes: Home visiting services to <br />identified families with at least one child 0 -5 years of age; supervising mental health services provided by student <br />mental health interns to identified families with at least one child 0 -5 years of age; providing support for school <br />readiness parent/child events to connect families with schools; and developing an integrated evaluation system. <br />Contractor's representative(s) shall attend Commission's regularly scheduled School Readiness Initiative site <br />meetings and county -wide School Readiness Steering Committee meetings. Contractor shall ensure compliance <br />with all state, federal and local laws or rules applicable to performance of the work required under this contract. <br />Exhibits A and B and their attachments reflect the scope of work and budget for the first year of the contract July <br />1, 2002 to June 30, 2003. It is understood and agreed that Contractor will submit an updated scope of work and <br />budget for the succeeding year by June 1, 2003, and receive written approval from the Executive Director, after <br />consultation with the Chair of the Commission, prior to commencing the second year provided, however, that <br />there shall be no change in the maximum amount payable under this Agreement. It is anticipated that the scope <br />of work and budget will be amended, with written approval of the Executive Director, upon review of the prior <br />year's progress reports. <br />2. Contract Term <br />The term of this Agreement shall be from July 1, 2002 to June 30, 2004, subject to the termination provisions <br />noted in paragraph 11, and subject further to the agreement provided for in paragraphs 3.0 and 15, that there are <br />reports due followed by final payment and evaluation required which occur after June 30, 2004. Contractor further <br />agrees that the requirements of this Agreement pertaining to indemnity in paragraph 5, records in paragraph 12, <br />and intellectual property in paragraph 13, including Exhibit D, shall survive the termination of this Agreement. <br />Payments <br />A. Maximum Amount . In full consideration of Contractor's performance of the services described in Exhibit <br />A, the amount that the Commission shall be obligated to pay for services rendered under this Agreement <br />shall not exceed FIVE HUNDRED AND EIGHTY FOUR THOUSAND EIGHT HUNDRED DOLLARS <br />($584,800) for the term as follows: Year 1 - $292,400 (July 1, 2002 — June 30, 2003); Year 2 - $292,400 <br />(July 1, 2003 — June 30, 2004). <br />B. Rate of Payment The rate of payment shall be as specified in Exhibit B. Each payment shall be <br />conditioned on the performance of the services described in Exhibit A to the full satisfaction of the Executive <br />Distribution: 1 copy each: Contractor, Commission, Controller 5 /28 /02 Page 1 <br />
