AMENDMENT NO. 3 TO EXTEND THE AGREEMENT FOR <br /> AUDITING SERVICES <br /> (Caporicci & Larson) <br /> T is Amendment No. 3 is entered into and effective as of the � '"► day of <br /> , 2012, extending and amending the agreement dated April 9, 2003 <br /> (the `A ree Y') by and between the City of Redwood City, a charter city and <br /> muni i I corporation of the State of California ("City"), and Caporicci & Larson, an <br /> accountancy partnership ("Consultant") (collectively, the "Parties"). <br /> RECITALS <br /> A. On June 20, 2005, the Parties executed Amendment No. 1 to the <br /> Agreement to extend and fund the Agreement; and <br /> B. On September 24, 2007, the Parties executed Amendment No. 2 to the <br /> Agreement to extend and fund the Agreement; and <br /> C. The Parties desire to extend and fund the Agreement for an additional <br /> period of three (3) years; and <br /> D. The Parties desire to alter the Agreement's scope of work to provide for <br /> audit services for the years ending June 30, 2012 through 2014, and delete the audit <br /> services for the Redevelopment Agency beginning in the fiscal year ending June 30, <br /> 2013; and <br /> E. The Parties have negotiated and agreed to a supplemental scope of work <br /> and fee schedule, which is attached to and incorporated herein by this reference as <br /> Exhibit "A." <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services <br /> described in Exhibit "A", with the exception of Redevelopment Agency line <br /> item in FY 2012/13 and FY 2013/14, as the Redevelopment Agency has <br /> been dissolved. City will pay Consultant for all work associated with this <br /> Amendment No. 3 and described in Exhibit "A" on a time and materials <br /> basis not-to-exceed the total amount of One Hundred Seventy Three <br /> Thousand Forty Nine Dollars ($173,049) in accordance with the fees for <br /> each fiscal year set forth below and described in Exhibit "A:" <br /> A.
