ii/z/u <br /> AMENDMENTTO AGREEMENTFOR <br /> CONFIDENTIAL DATA EXCHANGE OF LIMITED DATA BETWEEN <br /> CITY OF REDWOOD CITY AND <br /> THE JOHN W. GARDNER CENTER FOR YOUTH AND THEIR COMMUNITIES AND THE SPHERE INSTITUTE <br /> In an effort to streamline the work of the John W. Gardner Center For Youth and Their Communities at Stanford University <br /> (hereinafter referred as JGC) with the data covered under the Data Use Agreement (hereinafter referred as DUA), for the <br /> Youth Data Archive (hereinafter referred as YDA) JGC will become the sole custodian of these data, a role currently <br /> shared with The Sphere Institute (hereinafter referred as SPHERE). This will involve transferring the YDA data from <br /> SPHERE to the JGC; during this transition, JGC and SPHERE will both house the data - and will individually be <br /> responsible for its security and confidentiality within their own systems - until SPHERE is able to transfer the YDA data to <br /> JGC and properly destroy all YDA data. At that point, JGC will assume all responsibilities referenced in this Amendment <br /> and in the DUA. <br /> This Amendment to the existing DUA formalizes the following activities: <br /> 1. City of Redwood City directs SPHERE to transfer all YDA data covered under the existing DUA in its current form <br /> to JGC no later than January 31, 2012 or ninety days after the signing of this amendment. <br /> 2. Upon receipt of YDA data from SPHERE, JGC assumes all duties assigned to SPHERE in the existing DUA, <br /> including full responsibility for its data storage and security and confidentiality (which will occur through Stanford <br /> University Information Technology Services). <br /> 3. On either January 31, 2012 or ninety days after the signing of this amendment, all references to SPHERE within <br /> the existing DUA are no longer valid and should be deleted. All YDA data at SPHERE will be properly <br /> destroyed. During the period prior to removal of SPHERE from this DUA, SPHERE will destroy all copies or <br /> derivations of the YDA data in its possession utilizing an approved method of confidential destruction. <br /> 4. Section F(2). of the existing DUA states: "At the termination of this Agreement or upon written request of City of <br /> Redwood City, whichever is earlier, JGC and SPHERE shall return all confidential and/or sensitive information <br /> promptly and destroy all copies or derivations of the confidential and/or sensitive information utilizing an approved <br /> method of confidential destruction, including shredding, burning or certified/witnessed destruction for physical <br /> materials and verified erasure of magnetic media using approved methods of electronic file destruction." With this <br /> amendment, SPHERE will no longer return data to City of Redwood City but will instead transfer data to the JGC. <br /> 5. Under no circumstances will SPHERE, its affiliated companies, or any of its subsidiaries be held to any form of <br /> liability for any YDA data hosting, residing, or locating at JGC. <br /> 6.
