The validity, performance, and <br />construction of this Agreement shall be governed and interpreted in accordance <br />with the laws of the state where the majority of the services are being provided. <br />Venue shall be the County of San Mateo, State of California. <br /> <br /> 27. Assi,qnment. There shall be no assignment of the rights or <br />obligations in this Agreement by either party except as specifically provided in <br />this Agreement without the written consent of the other party and any <br />assignment absent such consent shall be null and void, and shall render the <br />corresponding duties and obligations of the other party null and void. <br /> <br /> 28. Entire Aqreement. This Agreement along with Consultant's <br />Proposal contains the entire Agreement and understanding between the parties <br />hereto with respect to the subject services and shall not be varied in its terms by <br />any previous communications, negotiations, and agreements, whether oral or <br />written, between the parties with respect to such subject matter, and no addition <br />to or modification or waiver of any provision of this Agreement shall be binding <br />on either party unless made in writing and executed by Consultant and a duly <br />authorized agent of City. If any portion of this Agreement is held invalid or <br />unenforceable, any remaining portion shall continue in full force and effect. <br /> <br /> 29. Key Employee.
