performed hereunder for a period of four (4) years after completion of the <br />services to be provided hereunder. Said records shall be available to City for <br />review and copying during regular business hours at Consultant's place of <br />business, or as otherwise agreed upon by the parties. <br /> <br /> `19. Non-Disclosure Aqreement. Consultant will keep confidential all <br />City furnished data and reports generated hereunder and will not disclose such <br />information to any third parties without City authorization. City acknowledges <br />that dissemination or reuse of Consultant's reports or data outside the scope <br />and intent of this Agreement will be at City's sole risk and liability. <br /> <br /> 20. Riqhts in Data. Any reports, documents, or findings that are <br />prepared for City in complete or partial fulfillment of this Agreement shall, upon <br />completion of the report, document, or finding, become the property of City. City <br />agrees that any patentable or copyrightable concepts, data, or software <br />developed by Consultant as a direct or indirect consequence of services <br />rendered hereunder are the sole and exclusive property of Consultant. <br />However, City shall have unlimited rights and use of all data or software <br />developed under this Agreement to Consultant. <br /> <br /> 2'1. ChanRes. The City may at any time, by written task order approved <br /> in advance of performance thereof by (i) the Public Works Services Director for <br /> task order up to the sum of $10,000; and (ii) by the City Council of the City of <br /> Redwood City for any task order in excess of $10,000, or task orders in the <br /> aggregate amount of $20,000, and within the general scope of this Agreement, <br /> make changes to the Services called for hereunder.
