ORIGINAL AMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL SERVICES (Mark Thomas & Company, Inc.) al This Amendment No. 1 is entered into and effective as of the G'day of Ap•: \ , 2019, amending the agreement dated October 29, 2010 (the "Agreement") by and between the City of Redwood City, a charter city and municipal corporation ("City"), and Mark Thomas & Company, Inc., a California corporation, ("Consultant') (collectively, the `Parties") for the Redwood City Bridges Repair Project. RECITALS A. On October 29, 2010, the Parties executed an Agreement for Professional Services to prepare a Citywide Bridge Report and prepare plans and specifications for the repair of certain bridges in the amount of One Hundred and Forty -Eight Thousand, Seven Hundred and Seventy -Five Dollars ($148,775). B. The cost of this project is being reimbursed to the City through a federal grant from the Federal Highway Administration (FHWA) administered by California Department of Transportation (Caltrans) at a reimbursement rate of 88.53°/x. C. The environmental review of this project has been subject to comprehensive studies and reiterative reviews by Caltrans as the Office of Local Assistance. D. The duration of this project has been extended due to multiple submissions for review and approval by various state and federal agencies. While the Citywide Bridge Report has been completed, the reviewing agencies have requested additional studies in order to obtain environmental clearance. E. The Parties have negotiated and agreed to a supplemental scope of work and fee schedule, which is attached to and incorporated by this reference as Exhibit "A," Scope of Services and Time and Materials Not to Exceed Fee. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In addition to those services contained in the Agreement, as may have been amended from time to time, Consultant will provide those services described in Exhibit "A." 2. City will pay Consultant for all work associated with those services described in Exhibit "A" on a time and materials basis in an amount not to exceed Forty Thousand and 00/100 Dollars ($40,000.00), for an aggregate amount of One Hundred and Eighty -Eight Thousand, Seven Hundred and Seventy -Five Dollars ($188,775). Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City.
