ORIGINAL <br />AMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL SERVICES <br />(Mark Thomas & Company, Inc.) <br />al <br />This Amendment No. 1 is entered into and effective as of the G'day of <br />Ap•: \ , 2019, amending the agreement dated October 29, 2010 (the <br />"Agreement") by and between the City of Redwood City, a charter city and municipal <br />corporation ("City"), and Mark Thomas & Company, Inc., a California corporation, <br />("Consultant') (collectively, the `Parties") for the Redwood City Bridges Repair Project. <br />RECITALS <br />A. On October 29, 2010, the Parties executed an Agreement for Professional <br />Services to prepare a Citywide Bridge Report and prepare plans and specifications <br />for the repair of certain bridges in the amount of One Hundred and Forty -Eight <br />Thousand, Seven Hundred and Seventy -Five Dollars ($148,775). <br />B. The cost of this project is being reimbursed to the City through a federal grant from <br />the Federal Highway Administration (FHWA) administered by California <br />Department of Transportation (Caltrans) at a reimbursement rate of 88.53°/x. <br />C. The environmental review of this project has been subject to comprehensive <br />studies and reiterative reviews by Caltrans as the Office of Local Assistance. <br />D. The duration of this project has been extended due to multiple submissions for <br />review and approval by various state and federal agencies. While the Citywide <br />Bridge Report has been completed, the reviewing agencies have requested <br />additional studies in order to obtain environmental clearance. <br />E. The Parties have negotiated and agreed to a supplemental scope of work and fee <br />schedule, which is attached to and incorporated by this reference as Exhibit "A," <br />Scope of Services and Time and Materials Not to Exceed Fee. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide those services described in <br />Exhibit "A." <br />2. City will pay Consultant for all work associated with those services <br />described in Exhibit "A" on a time and materials basis in an amount not to exceed Forty <br />Thousand and 00/100 Dollars ($40,000.00), for an aggregate amount of One Hundred <br />and Eighty -Eight Thousand, Seven Hundred and Seventy -Five Dollars ($188,775). <br />Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed <br />to include hours performed, hourly rates, and related activities and costs for approval by <br />City. <br />Page 1 of 7 <br />ATTY/AG R/AMENDMENTS/AMEND NO. 1- MARK THOMAS AND ASSOCIATES <br />REV: 04-01-19 PR <br />
