28. Entire Aqreement. This Agreement along with Consultant's <br />Proposal contains the entire Agreement and understanding between the parties <br />hereto with respect to the subiect services and shall not be varied in its terms by <br />any previous communications, negotiations, and agreements, whether oral or <br />written, between the parties with respect to such subject matter, and no addition <br />to or modification or waiver of any provision of this Agreement shall be binding <br />on either party unless made in writing and executed by Consultant and a duly <br />authorized agent of City. If any portion of this Agreement is held invalid or <br />unenforceable, any remaining portion shall continue in full force and effect. <br /> <br /> 29. Key Employee. Due to the nature and complexity of the services <br />required hereunder, Consultant agrees to assign and <br /> <br /> (the ~Employees") to this Project. Consultant agrees <br />that it shall not remove either or both Employees from this Project without the <br />written approval of the Public Works Services Director. In the event that City's <br />consent is obtained, such consent shall be conditioned upon the Public Works <br />Services Director's written approval of any person assigned to the Project by <br />Consultant. <br /> <br /> 30. Acceptance: This Agreement shall be binding on the parties hereto <br />upon execution of this Agreement by both parties. <br /> <br /> 31. Notices.
